Terms and conditions.

Fresh Equities Pty Ltd ('Fresh Equities') operates two services:

Access to investment opportunities for sophisticated & professional investors; and

Software for listed companies to assist them with engaging, understanding and acquiring investors.

We are a Corporate Authorised Representative (CAR #001267539) of AFSL #471379. This license is for Wholesale clients only. We are not allowed to, and do not, make offers to people who do not qualify as a Wholesale client (section 761G of the Corporations Act) or as either a Sophisticated or Professional Investor (section 708 of the Corporations Act — paragraphs 8-11).

If you are unsure if you qualify please see below or contact us.

Information presented on this site does not constitute an offer of securities. You should not rely on this website if or when deciding whether or not to make an investment decision.

For the avoidance of doubt we do not work with Retail investors, nor do we offer securities under the Small Scale Offerings exemption for Retail investors (section 708 of the Corporations Act — paragraphs 1-7).

To use Fresh Equities we require you to create an account, verify your ID and verify you qualify as a Wholesale or Professional Investor. The information input by you in registering your account will be collected, stored and used by us in accordance with our privacy policy.

There are a couple of ways you can do this:

1. Sophisticated Investor

A Sophisticated Investor is someone who passes one of the following tests, whereby they are then assumed to have sufficient knowledge to be able to evaluate an offer without the need for a full disclosure document. The two tests are:

1.1. a gross income of $250,000 or more per annum in each of the previous two years, or

1.2. net assets of at least $2.5 million

In calculating this amount you are able to include any assets or income from any companies you control. We don’t need to know specifics, but you are required to supply a letter from your accountant outlining that you pass at least one of these two measures. The certificate must be less than six months old when joining but can last for 2 years. You can read more on ASIC’s site here and see a sample letter here.

2. Professional Investor

To be considered a Professional Investor you must either:

2.1. Hold or be named on a relevant Australian Services Financial License (AFSL); or

2.2. have or control gross assets of at least $10 million (including any assets held by an associate or under a trust that you manage)
